AGREEMENT TO OUR LEGAL TERMS

We are Syntropy AI LLC, doing business as Rogue AI Uncle ("Company," "we," "us," "our"), a company registered in Wyoming, United States, at 1309 Coffeen Ave, Sheridan, WY 82801.

We operate the website https://rogueaiuncle.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Syntropy AI LLC publishes more than one title under the umbrella name Nomad Uncle Multiverse. These currently include Baseball Uncles Bar (baseballunclesbar.com) and Rogue AI Uncle (rogueaiuncle.com). Our titles share a single account, login, and billing system. This means one account works on all of them, we hold your account and subscription records in one place, and your receipts, account pages, and card statement may show Nomad Uncle Multiverse or NOMAD UNCLE MULTIVERSE rather than the name of the title you signed up on. Each title publishes its own content under its own Legal Terms; these Legal Terms apply to Rogue AI Uncle and to any plan that gives you access to it.

Rogue AI Uncle is an independent publication and creative project covering artificial intelligence, data science, technology, and business, offering written tutorials and commentary, video, a newsletter, original music, comics, games, interactive demos, and exclusive content for subscribers.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Syntropy AI LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We may modify these Legal Terms from time to time. The modified Legal Terms become effective when posted on the Site, and we will update the "Last updated" date at the top of this page. Where a change is material, we will make reasonable efforts to notify registered users by email or by a notice on the Site before it takes effect. By continuing to use the Services after the effective date of any change, you agree to be bound by the modified Legal Terms. If you do not agree to a change, you must stop using the Services and may cancel your subscription as described in the SUBSCRIPTIONS section below.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you save or print a copy of these Legal Terms for your records.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (such as the Health Insurance Portability and Accountability Act (HIPAA) or the Federal Information Security Management Act (FISMA)), so if your interactions would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the PROHIBITED ACTIVITIES section below, we grant you a non-exclusive, non-transferable, revocable license to:

• access the Services; and
• download or print a copy of any portion of the Content to which you have properly gained access,

solely for your personal, non-commercial use.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to legal@rogueaiuncle.com. If we ever grant you permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks, and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these intellectual property rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Downloadable subscriber materials

Where we expressly make code, prompt templates, automation workflows, or similar materials available for download to subscribers, and unless a different license is stated in or alongside the file itself, we grant you a non-exclusive, non-transferable, revocable license to use and adapt those materials for your own personal use or the internal business use of your own organization. You may not redistribute, resell, sublicense, publish, or make them available to the public or to any third party, whether modified or not, and you may not remove any attribution or copyright notice contained in them.

Your submissions

Please review this section and the PROHIBITED ACTIVITIES section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

You are responsible for what you post or upload: By sending us Submissions through any part of the Services you:

• confirm that you have read and agree with our PROHIBITED ACTIVITIES and will not post, send, publish, upload, or transmit through the Services any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
• to the extent permissible by applicable law, waive any and all moral rights to any such Submission;
• warrant that any such Submission is original to you or that you have the necessary rights and licenses to submit such Submissions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions; and
• warrant and represent that your Submissions do not constitute confidential information.

You are solely responsible for your Submissions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party's intellectual property rights, or (c) applicable law.

3. NO AFFILIATION, TRADEMARKS, AND FAIR USE

Rogue AI Uncle is an independent publication operated by Syntropy AI LLC. We are not affiliated with, endorsed by, sponsored by, or officially connected to any of the technology companies, model providers, cloud platforms, open-source projects, universities, employers, or other organizations whose products, research, or conduct we may discuss, review, test, or criticize on the Services.

Product names, company names, model names, logos, and other trademarks that appear on the Services remain the property of their respective owners. Where they appear, they are used only for identification, commentary, criticism, review, parody, news reporting, and similar purposes that we believe constitute fair use or the equivalent under applicable law.

Any alumni, community, or affinity discount we may offer is offered by us alone. It is not offered, funded, endorsed, or administered by any university, alumni association, employer, or other institution, and eligibility for it is determined by us in our sole discretion.

If you are a rights holder and believe material on the Services infringes your rights, please see the COPYRIGHT INFRINGEMENTS section below.

4. AI-GENERATED CONTENT AND NO PROFESSIONAL ADVICE

Some content on the Services — including text, images, comics, music, video, voice-overs, translations, and data analysis — is created with the assistance of, or generated by, artificial intelligence tools. AI-assisted content may contain errors, inaccuracies, or unintended similarities to existing works. We review what we publish, but we do not warrant that it is accurate, current, complete, or free of error.

All content on the Services is provided for general information and entertainment purposes only, and you are solely responsible for any decision you make in reliance on it.

Tutorials, code, prompts, and downloadable materials

Tutorials, source code, notebooks, prompt templates, automation workflows, configuration files, datasets, and similar materials made available through the Services are provided for educational and illustrative purposes only, on an "AS IS" basis and without warranty of any kind. They may become outdated as third-party tools, models, and APIs change. You are solely responsible for reviewing, testing, and validating any material before using it in a production environment, and for any cost you incur as a result — including but not limited to API usage fees, cloud computing charges, third-party subscription fees, data loss, or service interruption.

Interactive demos and model previews

We may make interactive demonstrations, model previews, or similar tools available on the Services. These are provided for demonstration only. They may be rate-limited, changed, or withdrawn at any time without notice, and their output may be inaccurate. You agree not to use them as a substitute for a commercial API, not to use them to process data on behalf of any third party, and not to submit confidential, sensitive, or personal information about yourself or anyone else through them.

No professional advice

Commentary on markets, investing, employment and labor trends, business strategy, taxation, residency, relocation, or living and working across borders reflects personal opinion and general information only. It is not financial, investment, legal, tax, immigration, medical, or career advice, and it is not a recommendation to buy, sell, or hold any security or asset. You should consult a qualified professional licensed in your jurisdiction before acting on anything you read here.

5. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are at least 18 years of age and are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

6. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Accounts are for a single individual. You may not share your login credentials with, or allow access to your account by, any other person, and you may not use one account to provide access to paid content for more than one individual.

7. PURCHASES AND PAYMENT

We accept the following forms of payment:

• Visa
• Mastercard
• American Express
• Discover
• Any other payment method made available to you at checkout by our payment providers

Payments and subscriptions are processed on our behalf by third-party providers, including Stripe and our membership platform. We do not receive or store your full payment card details. Your use of those providers' services is also subject to their own terms and privacy policies.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Unless stated otherwise at checkout, displayed prices do not include sales, use, VAT, GST, or similar taxes. Where we are required to collect such taxes, they will be calculated and shown to you at checkout and added to the price you pay. All payments shall be in US dollars unless we state otherwise at checkout.

You agree to pay all charges at the prices then in effect for your purchases, and you authorize us and our payment providers to charge your chosen payment method for any such amounts. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

What appears on your statement

Because every title we publish is billed through the same company account, charges normally appear on your card or bank statement as NOMAD UNCLE MULTIVERSE, whichever of our sites you subscribed on. Receipts and invoices are issued in the name Nomad Uncle Multiverse by Syntropy AI LLC.

If you see a charge you do not recognize, please contact us at ops@rogueaiuncle.com before raising a dispute with your bank. We will identify the charge for you, and if it is ours and it was taken in error we will refund it.

We reserve the right to refuse or cancel any order or subscription placed through the Services, and to limit or cancel quantities purchased per person, per household, or per order, in our sole discretion. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing address.

The Services currently offer digital content and subscriptions only. We do not sell or ship physical goods through the Services. If we offer physical merchandise in the future, it will be sold through a separate store operated under its own terms of sale, and those terms — not these Legal Terms — will govern that purchase.

One-time payments and tips

We may offer one-time, non-recurring payments — for example a voluntary tip or a "buy the uncle a beer" option. If you make one of these payments:

• it is a single charge. It does not create a subscription, it does not renew, and nothing further will be charged to you;
• it is voluntary support for our work. It is not the purchase of any specific item, it does not grant membership, subscriber access, or any other benefit, and no goods or services are promised or supplied in return;
• it is not a charitable donation. Syntropy AI LLC is a for-profit limited liability company and not a tax-exempt charity, so your payment is not tax-deductible; and
• it is non-refundable, except where a refund is required by applicable law or where we choose to grant one at our discretion.

If we ever attach a benefit or reward to a one-time payment, that benefit will be described clearly at the point of purchase, and the description shown there will apply.

8. SUBSCRIPTIONS

Our plans

We currently offer: (a) a free plan that asks only for an email address and gives you our newsletter together with whatever content we choose to make freely available; (b) a paid subscription to this title; and (c) an all-access plan covering every title in Nomad Uncle Multiverse. Paid plans are billed monthly or annually. We may also offer one-time payments as described in the PURCHASES AND PAYMENT section above.

The plans, prices, billing periods, and free trial lengths that apply to you are the ones displayed at checkout at the time you subscribe. We deliberately do not list prices in these Legal Terms, and we may add, rename, change, or withdraw plans at any time. Any change to the price of a subscription you already hold is dealt with under "Fee changes" below.

The free plan requires no payment method. We may change or discontinue the free plan, or close free accounts that have been inactive for a long period, at any time. You can unsubscribe from the newsletter at any time using the link in any email we send you.

Billing and renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable subscription. The length of your billing cycle depends on the subscription plan you choose when you subscribe.

At the time of writing, subscriptions are offered on a monthly or an annual basis. Monthly subscriptions renew every month and annual subscriptions renew every twelve (12) months, at the then-current price, until canceled. The plans, prices, and billing periods shown at checkout are the ones that apply to you. Where applicable law requires us to send you a reminder or a notice before a subscription renews automatically, we will send it to the email address on your account.

Free trial

Some paid plans include a free trial for new subscribers. The length of the free trial that applies to you is shown at checkout before you confirm. At the time of writing it is seven (7) days for a single-title plan and fourteen (14) days for the all-access plan. A valid payment method is required in order to start a free trial.

Unless you cancel before the free trial ends, your payment method will be automatically charged for the plan you selected at the end of the free trial, and your paid subscription will begin. If you cancel at any point before the trial ends, you will not be charged. Free trials are for new subscribers only, are limited to one per person or household, and we reserve the right to withdraw or modify a free trial offer at any time.

All-access plan

Our all-access plan covers every title in Nomad Uncle Multiverse, including this one, for as long as the plan is active. It is a single subscription with a single charge, a single billing date, and one account. Canceling it ends your access to all titles it covers.

If we add a title to Nomad Uncle Multiverse we may, but are not required to, include it in the all-access plan. If we remove one, we will not increase your price as a result. You cannot hold the all-access plan and a separate single-title subscription to the same title at the same time; if that happens, contact us and we will cancel the overlapping subscription and refund any duplicated charge.

Discounts and promotional codes

We may from time to time offer discount codes, promotional prices, or eligibility-based discounts (for example an alumni, community, launch, or founding-member discount). Unless we clearly state otherwise when we make the offer:

• a code has no cash value, cannot be exchanged for cash, and cannot be sold or transferred;
• only one code may be applied to a subscription at a time, and codes cannot be combined with other offers;
• an eligibility-based discount is offered by us alone. It is not offered, funded, endorsed, or administered by any university, alumni association, employer, or other institution, and eligibility is determined by us in our sole discretion. We may ask you for reasonable evidence of eligibility, and we may check it at any time, including after the discount has been applied;
• if we determine that a code has been obtained, shared, or used improperly, or that you are not or are no longer eligible for it, we may remove the discount going forward and charge the standard price from your next billing date, or cancel the subscription. We will tell you before we do so; and
• we may withdraw or change any offer at any time. Withdrawing an offer does not affect a discount already correctly applied to an existing subscription, which will continue for the period stated when it was applied.

Cancellation

You can cancel your subscription at any time by logging into your account and using the cancellation option there, or by emailing us at ops@rogueaiuncle.com. Cancellation takes effect at the end of your current paid term. You will keep access to paid content until that term expires, and you will not be charged again.

Refunds

If you cancel during the free trial, you will not be charged. Once a subscription payment has been taken, payments are non-refundable, and we do not provide refunds or credits for partially used billing periods, except (a) where a refund is required by applicable law, (b) where we terminate your paid subscription other than for your breach of these Legal Terms, or (c) where we choose to grant a refund in our sole discretion. If you believe you have been charged in error, please contact us at ops@rogueaiuncle.com and we will review your case in good faith.

Fee changes

We may change subscription fees from time to time. We will give you reasonable advance notice of any price increase that would apply to your subscription, and any such increase will take effect at the start of your next billing cycle. If you do not agree to a new price, you may cancel before it takes effect.

Payment disputes

If you do not recognize a charge, or you believe a charge is wrong, please contact us first at ops@rogueaiuncle.com. We will reply and correct genuine errors. If a chargeback or payment dispute is raised against us without contacting us first, we may suspend or close the account concerned and decline future subscriptions from it while the dispute is being resolved. This does not limit any right you have to dispute a charge with your bank or card issuer.

If you are a consumer in the EEA or the United Kingdom

Where local law gives you a statutory right to withdraw from a distance contract within fourteen (14) days, you acknowledge that by starting a subscription or a free trial and receiving immediate access to our digital content, you expressly ask us to begin supplying that content straight away, and you accept that you lose that right of withdrawal once supply has begun. This does not affect your right to cancel future renewals at any time as described above, and it does not affect any other mandatory consumer right that cannot be waived by agreement.

9. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Use the Services or any Content to train, fine-tune, evaluate, or develop any machine learning or artificial intelligence model, or to build any derivative dataset or corpus, without our express prior written permission.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
• Share, resell, or otherwise make available your account credentials or any paid Content to any person who is not entitled to access it.
• Make or publish statements about us or the Services that you know to be false, or that are maliciously defamatory. Nothing in these Legal Terms restricts you from sharing your honest opinion, review, or criticism of the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Engage in unauthorized framing of or linking to the Services.
• Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
• Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
• Delete the copyright or other proprietary rights notice from any Content.
• Attempt to impersonate another user or person, or use the username of another user.
• Upload or transmit (or attempt to upload or transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1x1 pixels, web bugs, cookies, or other similar devices.
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
• Harass, annoy, intimidate, or threaten any of our employees, contractors, or agents engaged in providing any portion of the Services to you.
• Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services, including any paywall or access control.
• Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
• Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
• Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or use or launch any unauthorized script or other software.
• Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
• Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.
• Use the Services to advertise or offer to sell goods and services.
• Sell or otherwise transfer your profile.
• Use any interactive demo, model preview, or downloadable material made available on the Services as a substitute for a commercial API, or to provide services to, or process data on behalf of, any third party.

10. USER GENERATED CONTRIBUTIONS

The Services may now, or in the future, provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Services and through third-party websites. Any Contributions you transmit may be treated in accordance with the Services' Privacy Policy. When you create or make available any Contributions, you thereby represent and warrant that:

• The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
• You are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Services, and other users of the Services to use your Contributions in any manner contemplated by the Services and these Legal Terms.
• You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Services and these Legal Terms.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
• Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
• Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person or to promote violence against a specific person or class of people.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate the privacy or publicity rights of any third party.
• Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
• Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
• Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.

11. CONTRIBUTION LICENSE

WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend a paid subscription for a reason other than your breach of these Legal Terms or of applicable law, we will refund the unused portion of your then-current billing period.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

17. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion. However, we have no obligation to update any information on our Services. We will use reasonable efforts to notify active paying subscribers in advance of any change that materially reduces the paid features or content available to them.

Where we describe how often or in what form we publish — for example "daily", "weekly", "three languages", or a named recurring feature — we are describing what we normally intend to do, not giving a contractual guarantee. Publication may be delayed, reduced, paused, or changed, including because of illness, travel, technical failure, or a third-party outage, and the mix, format, length, and language of what we publish may change over time. A change in publishing schedule or format is not by itself a failure to provide the Services. If we permanently stop publishing something that was a substantial part of what you pay for, the MODIFICATIONS AND INTERRUPTIONS and TERM AND TERMINATION provisions on refunds of the unused portion of your billing period apply.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. If we permanently discontinue the Services, we will refund the unused portion of your then-current billing period.

18. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Wyoming applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles. This section applies subject to the USERS OUTSIDE THE UNITED STATES section below.

19. DISPUTE RESOLUTION

Informal negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Wyoming. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

Either Party may bring an individual claim in a small claims court of competent jurisdiction instead of proceeding in arbitration, provided the claim remains in that court and on an individual (non-class) basis.

If for any reason a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Sheridan, Wyoming, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to informal negotiations and arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

20. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

21. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. 23. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

24. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

26. CALIFORNIA USERS AND RESIDENTS

27. USERS OUTSIDE THE UNITED STATES

The Services are operated from the United States. If you access the Services from outside the United States, you do so on your own initiative and you are responsible for compliance with the laws of your own jurisdiction.

If you are a consumer resident in the European Economic Area, the United Kingdom, Australia, or any other jurisdiction whose law grants you mandatory consumer rights that cannot be waived by agreement, nothing in these Legal Terms limits or excludes those rights. In particular, the GOVERNING LAW and DISPUTE RESOLUTION sections above apply only to the extent permitted by the law of your country of residence, and you may still bring proceedings before the courts of that country where local law gives you that right.

28. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. You agree that these Legal Terms will not be construed against us by virtue of having drafted them.
